Terms and Conditions

1. Acceptance of Terms

By accessing or using the HappySellers software application, website, and related services (collectively, the "Service"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, you must not access or use the Service. These Terms constitute a legally binding agreement between you ("User," "you," or "your") and HappySellers and its parent company, subsidiaries, and affiliates (collectively, "Company," "we," "us," or "our").

2. Description of Service

HappySellers provides a Software as a Service (SaaS) platform and mobile application designed to assist e-commerce sellers with order processing, reconciliation, and related operational tasks across marketplaces including but not limited to Amazon, Flipkart, Myntra, and Meesho.

The Service is intended to function as a supportive add-on tool designed to improve operational efficiency. Users and sellers are expected to be fully capable of managing their e-commerce operations independently without reliance on the Service. The Service does not replace the need for independent business management, oversight, and decision-making by the User.

3. Eligibility

You must be at least 18 years of age and capable of entering into a legally binding agreement to use the Service. By using the Service, you represent and warrant that you meet these requirements.

4. Account Registration and Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account. The Company shall not be liable for any loss or damage arising from your failure to safeguard your account information.

5. Subscription and Payment

Access to the Service may require a paid subscription. By subscribing, you agree to pay all applicable fees as described on our pricing page. Fees are non-refundable except as expressly stated in our Refund Policy. The Company reserves the right to modify pricing at any time with reasonable prior notice.

6. Limitation of Liability

While we strive to maintain the highest levels of reliability and uptime, the Company, its parent company, subsidiaries, affiliates, directors, officers, employees, and agents shall not be held liable for any direct, indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, business opportunities, or goodwill, arising from or related to:

  • Any technical disruptions, outages, bugs, errors, or interruptions in the Service;
  • Any delays, failures, or defects in the Service's functionality;
  • Loss of business, orders, or revenue resulting from the unavailability or malfunction of the Service;
  • Any actions taken or not taken by the User based on information provided by the Service;
  • Third-party marketplace policy changes, API modifications, or platform outages;
  • Data loss or corruption, whether caused by system failures, security breaches, or other circumstances;
  • Any unauthorized access to or alteration of your data or transmissions.

The User acknowledges that the Service is a supplementary tool, and the User bears full responsibility for independently verifying all order processing, reconciliation, and business-critical operations.

7. Technical Issues and Support

In the event of technical issues, bugs, or service disruptions, resolution timelines may vary depending on the complexity and nature of the issue. While we make every reasonable effort to address concerns and restore service promptly, specific timelines, immediate fixes, or guaranteed resolution timeframes cannot always be assured.

The Company shall not be liable for any damages or losses incurred during the period of any service disruption, regardless of its duration or cause. Users are advised to maintain independent workflows and backup processes to mitigate any potential impact from service interruptions.

8. Service Availability and Modifications

The Company reserves the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service. We do not guarantee uninterrupted, timely, secure, or error-free operation of the Service.

9. Intellectual Property

All content, features, functionality, software, designs, text, graphics, and other materials available through the Service are owned by the Company and are protected by intellectual property laws. You may not copy, reproduce, distribute, modify, create derivative works of, publicly display, or otherwise exploit any of our intellectual property without prior written consent.

10. User Obligations

You agree to:

  • Use the Service only for lawful purposes and in compliance with all applicable laws and regulations;
  • Not attempt to reverse engineer, decompile, or disassemble any part of the Service;
  • Not use the Service to transmit any harmful, unlawful, or objectionable content;
  • Not interfere with or disrupt the integrity or performance of the Service;
  • Maintain independent oversight over your business operations and not rely solely on the Service for critical business decisions.

11. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection, use, and processing of your data as described in the Privacy Policy.

12. Indemnification

You agree to indemnify, defend, and hold harmless the Company, its parent company, subsidiaries, affiliates, directors, officers, employees, agents, and licensors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

13. Disclaimer of Warranties

The Service is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. The Company does not warrant that the Service will meet your requirements, operate without interruption, be timely, secure, or error-free, or that defects will be corrected.

14. Force Majeure

The Company shall not be liable for any failure or delay in performing its obligations under these Terms due to circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemic, government actions, internet or telecommunications failures, power outages, third-party service disruptions, cyberattacks, or any other force majeure event.

15. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Pune, Maharashtra, India. Before initiating any legal proceedings, both parties agree to attempt resolution through good-faith negotiation.

16. Severability

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.

17. Entire Agreement

These Terms, together with the Privacy Policy and Refund Policy, constitute the entire agreement between you and the Company regarding the use of the Service and supersede all prior agreements, communications, and understandings.

18. Changes to Terms

The Company reserves the right to update or modify these Terms at any time. Changes will be effective upon posting to the website. Your continued use of the Service after any modifications constitutes acceptance of the revised Terms. It is your responsibility to review these Terms periodically.
